Participant Agreement & Terms of Use - Fuel Cycle UX
Effective as of May 1, 2025
This Participant Agreement and Terms of Use (“Agreement”) is entered into by and between Fuel Cycle Inc. (“Fuel Cycle,” “Company,” “we,” “our,” or “us”), a Delaware corporation, and you (“Participant,” “you,” or “your”), and governs your access to and use of the Fuel Cycle UX platform located at https://ux.fuelcyclecore.com (the “Platform”) and related services for the purpose of participating in qualitative research studies (the “Services”).
By registering for and participating in research through the Platform, you affirm your consent to be legally bound by the terms of this Agreement. If you do not agree to these terms, you must not use or access the Platform or participate in any research studies facilitated by Fuel Cycle
1. Informed Consent and Participant Rights
By registering and participating in studies via the Platform, you expressly acknowledge and consent to the following:
The collection, processing, and use of your personal data, audio-visual content, and other contributions in accordance with this Agreement and Fuel Cycle Privacy Policy, https://fuelcycle.com/legal/privacy-policy/.
Your right to withdraw your consent at any time by providing written notice to support@fuelcyclecore.com. Withdrawal of consent shall not affect the lawfulness of processing based on consent before its withdrawal.
Your rights to access, correct, and request deletion of your personal data under applicable data protection laws, including the General Data Protection Regulation (GDPR) and California Consumer Privacy Act (CCPA).
Your right to provide or withhold separate, explicit consent for the use of your content in external or public-facing communications, such as marketing or promotional materials.
2. Registration and Data Collection
To participate, you may be required to use the Fuel Cycle UX Recorder application or access web-based study interfaces. During your interaction with the Platform, Fuel Cycle may collect the following data:
Personally Identifiable Information (PII), including your name, email address, demographic information, and responses to pre-qualification or study-related questionnaires.
Technical and device metadata, including but not limited to IP address, browser type, operating system, clickstream data, and general location information.
Audio, video, screen, and interaction recordings captured during research sessions conducted through the Platform.
Fuel Cycle does not access, monitor, or track your activity outside of authorized research sessions. No background monitoring of other applications on your device shall occur.
3. Content and Intellectual Property License
You hereby grant to Fuel Cycle and its Clients a non-exclusive, worldwide, perpetual, royalty-free, irrevocable license to use, reproduce, display, transmit, analyze, and otherwise exploit the content you submit during your participation, including but not limited to video recordings, audio files, screen captures, text input, and any feedback, suggestions, or comments (collectively, “Participant Content”).
This license shall be limited to internal research, analysis, and quality assurance purposes unless you separately provide explicit written consent for public-facing or commercial uses, including publication on websites, social media platforms, or marketing campaigns.
You warrant and represent that you have obtained any required consent from third parties featured or referenced in the Participant Content, and that such content does not infringe any third-party intellectual property or violate any applicable law.
4. Incentives and Compensation
Fuel Cycle may offer incentives for completion of eligible research activities, which may include monetary compensation, digital gift cards, or other rewards (collectively, “Rewards”). The type and amount of any Reward shall be disclosed prior to participation.
Rewards will be disbursed following successful completion and review of the applicable study, via the method disclosed in the study invitation. If the Reward is issued directly by the Client, Fuel Cycle disclaims liability for the issuance but will endeavor to assist in good faith resolution of any disputes.
Participants are solely responsible for all tax reporting obligations and liabilities associated with Rewards received through participation.
5. Privacy and Data Retention
Fuel Cycle shall process your personal data in accordance with its Privacy Policy. Data collected will be retained only for as long as necessary to fulfill research, legal, and operational obligations, and in no event longer than permitted by applicable law.
You may contact Fuel Cycle at any time to exercise your rights with respect to your personal data, including requests for access, correction, deletion, or restriction of processing.
6. Independent Contractor Relationship
Nothing in this Agreement shall be construed to create a relationship of employer and employee, principal and agent, joint venture, or partnership between you and Fuel Cycle. You acknowledge that you are acting as an independent participant and that your engagement is limited solely to voluntary participation in research studies.
7. Indemnification
You agree to indemnify, defend, and hold harmless Fuel Cycle, its officers, directors, employees, contractors, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, expenses, or demands (including reasonable attorneys’ fees) arising out of or related to your breach of this Agreement, your violation of applicable laws or third-party rights and your submission of inaccurate, unlawful, or infringing Participant Content.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FUEL CYCLE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATING TO THIS AGREEMENT OR YOUR PARTICIPATION IN THE SERVICES.
FUEL CYCLE’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED FIVE HUNDRED U.S. DOLLARS (US $500.00).
9. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, unless otherwise agreed in a written arbitration clause.
10. General Provisions
This Agreement constitutes the entire understanding between you and Fuel Cycle and supersedes all prior or contemporaneous communications.
If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Fuel Cycle may assign or delegate its rights and obligations under this Agreement without restriction. You may not assign your rights without prior written consent.
No waiver of any term shall be deemed a continuing waiver unless expressly stated in writing.
